M&A
From counsel to mandate.
Alchimie advises on sell-side and buy-side mandates in mergers and acquisitions for business owners, family shareholders and private investors.
Transactions are primarily in unlisted companies, in Switzerland and France, with enterprise values between EUR 5 and 250 million.
Each mandate is exclusive. Each transaction is led personally, from first contact through closing.
AREAS OF PRACTICE
Disposals
Sell-side mandates for founder-managers, family shareholders, or minority holders seeking a partial or full exit.
Acquisitions
Buy-side mandates for executives in build-up, investors consolidating a sector, or family offices diversifying their holdings.
Fundraising
Introduction to equity or private-debt investors to finance growth, an acquisition, or an ownership transition.
METHOD
-
Framing
Understand the business, its issues, and the constraints of management or shareholders. Define the exact scope of the mandate and the execution strategy.
-
Preparation
Document the opportunity. Produce the materials — teaser, information memorandum, business plan. Build the qualified list of counterparties to approach.
-
Negotiation
Conduct confidential approaches. Structure indications of interest, manage the competitive process, and negotiate financial and legal terms through to the letter of intent.
-
Closing
Coordinate counsel — lawyers, tax advisers and auditors. Hold the timetable, clear obstacles, and secure signature and closing.
COMMITMENT
An M&A mandate shapes the trajectory of the company and the lives of its leaders and shareholders. It requires full availability, absolute discretion, and interests aligned without ambiguity.
